If you are using Plazee on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

Plazee is a commercial property management software platform that provides:

Tenant and lease management
Accounts receivable and billing automation
Accounts payable and vendor management
AI-powered invoice processing and bank reconciliation
Maintenance request tracking
Financial reporting and accounting
Tenant portal for online payments
Document storage and management

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and capable of entering into a binding contract to use Plazee. You represent that all registration information you provide is accurate and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

Use a strong, unique password
Not share your login credentials with others
Notify us immediately of any unauthorized access
Log out of your account when using shared devices

3.3 User Roles

Plazee supports multiple user roles (Admin, Property Manager, Accounting, Tenant). Account administrators are responsible for managing user access and permissions appropriately.

4. Subscription and Payment

4.1 Subscription Plans

Plazee offers various subscription plans with different features and pricing. Plan details and current pricing are available on our website. We reserve the right to modify pricing with 30 days' advance notice.

4.2 Billing

Subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly set forth in these Terms or required by law.

4.3 Free Trials

We may offer free trial periods. At the end of a free trial, your subscription will automatically convert to a paid plan unless you cancel before the trial ends.

4.4 Payment Processing

Payments are processed through third-party payment processors (e.g., Stripe). By providing payment information, you authorize us to charge the applicable fees. You agree to keep payment information current and accurate.

5. Acceptable Use

5.1 Permitted Use

You may use Plazee only for lawful purposes related to commercial property management. You agree to comply with all applicable laws and regulations, including but not limited to:

Fair housing laws and anti-discrimination requirements

Tax reporting and record-keeping requirements

5.2 Prohibited Activities

You agree NOT to:

Violate any applicable laws or regulations
Infringe on intellectual property rights of others
Upload malicious code, viruses, or harmful content

Interfere with or disrupt the service or servers
Use the service for any fraudulent or deceptive purpose
Scrape, crawl, or collect data without authorization

6. Your Data

You retain all rights to the data you upload or create in Plazee ("Your Data"). We do not claim ownership of Your Data.

6.3 Data Accuracy

You are responsible for the accuracy, quality, and legality of Your Data and the means by which you acquired it. You represent that you have all necessary rights to upload tenant information, financial data, and documents.

6.4 Backup and Export

While we maintain backups, you are responsible for maintaining your own copies of important data. You may export Your Data at any time through the platform's export features.

7. AI-Powered Features

7.1 AI Processing

Plazee uses artificial intelligence to provide features including invoice data extraction, bank transaction matching, and maintenance request triage. These features are provided to assist you and may not be 100% accurate.

7.2 Human Review Required

AI-generated suggestions require your review and confirmation before they become final. You are responsible for verifying the accuracy of AI-processed data before approving actions such as payment recording, GL coding, or vendor assignment.

7.3 No Guarantee

We do not guarantee the accuracy of AI-generated outputs. You acknowledge that AI features are tools to assist, not replace, human judgment in property management decisions.

8. Third-Party Services

Plazee integrates with third-party services including payment processors, email providers, and AI services. Your use of these integrations is subject to the respective third-party terms. We are not responsible for third-party service availability or performance.

9. Intellectual Property

9.1 Our Rights

Plazee, including its design, features, code, and content (excluding Your Data), is owned by AI Guru LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or create derivative works without our permission.

9.2 Feedback

If you provide suggestions, ideas, or feedback about Plazee, you grant us a non-exclusive, worldwide, royalty-free license to use and incorporate such feedback into our products and services.

10. Disclaimer of Warranties

PLAZEE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

We do not warrant that the service will be uninterrupted, error-free, or secure. We do not warrant the accuracy of AI-generated content. You use the service at your own risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI GURU LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING FROM YOUR USE OF PLAZEE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY FOR CERTAIN DAMAGES. IN SUCH CASES, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

12. Indemnification

You agree to indemnify, defend, and hold harmless AI Guru LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

Your use of Plazee
Your violation of these Terms
Your violation of any third-party rights
Your Data or content you upload
Any dispute between you and your tenants, vendors, or other third parties

13. Termination

13.1 By You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You remain responsible for any outstanding fees.

13.2 By Us

We may suspend or terminate your account if you violate these Terms, fail to pay fees, or engage in conduct that harms Plazee or other users. We will provide notice when reasonably possible.

13.3 Effect of Termination

Upon termination, your right to access Plazee ends. You may export Your Data for up to 30 days after termination. After that period, we may delete Your Data. Provisions that should survive termination (including liability limitations and dispute resolution) will continue to apply.

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the State of New Jersey, United States, without regard to conflict of law principles.

14.2 Informal Resolution

Before initiating formal proceedings, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.

14.3 Jurisdiction

Any legal action arising from these Terms shall be brought exclusively in the state or federal courts located in New Jersey. You consent to the personal jurisdiction of these courts.

14.4 Class Action Waiver

YOU AGREE THAT ANY DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS AND NOT AS PART OF ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the platform at least 30 days before they take effect. Your continued use of Plazee after changes take effect constitutes acceptance of the new Terms.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AI Guru LLC regarding Plazee.

16.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

16.3 No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver.

16.4 Assignment

You may not assign these Terms without our prior written consent. We may assign our rights and obligations without restriction.

16.5 Force Majeure

We are not liable for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, wars, pandemics, or infrastructure failures.
